SOLE ENTREPRENEUR AND COMPANY REGISTRATION IN SERBIA

Company registration
From 01/06/ 2023 a limited liability company can be registered ONLY electronically online through the Serbian Government ePortal.
Technical preconditions for registration are as follows:
- Possession of the electronic signature issued by an authorised issuer in Serbia
- Registration with the ePortal
- Application of a particular software designed for registration purposes.
Registration and payments are all done online. For that purpose, the applicant will need to have all necessary documentation and information to be able to fill out online forms and to upload documents. All signatures are electronic signatures, all documents, if available in paper format will have to be digitalised for online submission. Payment is done with a credit card.
Company registration can be done by the investor/entrepreneur or by his advisor to whom the investor issues a suitable power of attorney (“POA”). POA also needs to be notarised. Because of the technical preconditions required by the Registrar of Companies, in practice it will be much easier to hire a professional advisor to carry out registration for you.
If SEECAP is engaged to register a company of client’s behalf, we prepare such POA in Serbian for local clients or bilingual Serban and English or in Serbian and Russian for international clients. For collection of information, we produce questionnaire to be filled out by the client. We prepare incorporation documentation in Serbian for the local clients or bilingual (Serbian-English, Serbian-Russian) for the international clients.
Sole entrepreneur registration
Registration as a sole entrepreneur (“SE”) in Serbia is similar to company registration with the exception:
- it is still possible to register SE by submitting the registration in paper format without having to digitalise all documentation and
- in online format where all documents will have to be digitalised similar as the company registration explained above.
Before registration we send the applicant a questionnaire to obtain all necessary information and documentation for registration.
Fees and expenses
The fees and costs depends on whether the founder of the company or the SE applicant is in Serbia or abroad. The fees and costs are higher if registration is executed from abroad.
In addition to the agency/advisory fee, there will be notary and translator costs for documents translation, legalisation and digitalisation, as applicable.
